Seller – B2B WORKSHOP participant and representative of local service providers in tourism from Croatia and abroad, hereinafter referred to as Seller
Hosted Buyer – B2B WORKSHOP participant, demand representative from abroad, ASTA member, hereinafter referred to as Buyer
 
 
 
GENERAL TERMS AND CONDITIONS FOR PARTICIPATION OF BUYERS AT ASTA B2B WORKSHOP
 
These General Terms and Conditions set out the mutual rights and obligations between HIT Dalmatia , organiser of a B2B WORKSHOP and Buyers:
 
1. HIT Dalmatia undertakes to organise a B2B WORKSHOP within ADE on December 5th 2020. The B2B WORKSHOP will be held in Valamar Lacroma Dubrovnik hotel and B2B WORKSHOP participants are Buyers and Sellers.
 
2. To participate on ADE B2B WORKSHOP, Buyers are obligated to register on HIT Dalmatia on line platform which can be located on HIT Dalmatia web site (www.hitdalmatia.com) with appurtenant links. Participation on B2B WORKSHOP for hosted buyers is free of charge. Upon registration, HIT Dalmatia will activate a profile in the system, notify Buyer by email and from that moment on Buyer can access and edit his/her profile at any time. Regarding matchmaking process and possibility of starting arranging meetings in the on line system, HIT Dalmatia will send information simultaneously to all participants registered and approved in the system by that time.  If a Buyer fails to meet the main terms of participation, HIT Dalmatia reserves the right not to activate the Buyer’s profile and the Buyer will be denied participation in the B2B WORKSHOP.
 
3. HIT Dalmatia will provide free participation in the B2B WORKSHOP for registered/approved Buyers which includes:
- Desk (130 x 60 cm) and 4 chairs
- The right to act on behalf of the business entity in the B2B WORKSHOP in the following manner: 1 business entity = 1 profile= 1 online application (registration)
 
4. HIT Dalmatia reserves the right to set the date of profiles approving as well as start arranging meetings in the online system.Prior to the publishing of profiles and meetings arranging, all participants with active profiles will be able to view only their own profile, but not the profiles of other participants.
 
5. Each Buyer undertakes to fill out their profile in a professional manner and in accordance with business customs, and they will be held liable for the accuracy for the data published in their profile. 
 
6. Each Buyer will have the possibility to set up 18 meetings at the most, each in a duration of 10 minutes. HIT Dalmatia reserves the right to change the number of possible meetings during the B2B WORKSHOP, of which the Buyers will be timely informed in writing and which will have no effect on the total duration of the B2B WORKSHOP. Each Buyer will be held responsible for the quantity and quality of agreed meetings in the B2B WORKSHOP. Hit Dalmatia will not be held liable for the presentation, quantity and quality of the set up meetings of the Buyers.
 
7. Hit Dalmatia expects the Buyers to act in accordance with the due diligence of a good businessman. If a Buyer grossly violates the rules of due diligence, Hit Dalmatia reserves the right to cancel the Buyer’s right of participation in the B2B WORKSHOP and close their profile, of which the Buyer will be informed timely.
 
8. Hit Dalmatia reserves the right to change the agenda defined in the previously published programme, and Buyers do not have the right to object or cancel their participation if all previously announced parts of the programme are executed.
 
9. The data that the Buyer enters in HIT Dalmatia’s online system will only be used for processing their participation in the B2B WORKSHOP (event notification, questionnaires and other). At the moment of publication of the profile, all data entered by the Buyer in their profile will be visible to all registered participants of the B2B WORKSHOP. Hit Dalmatia reserves the right to use all promotional photos and video material in subsequent marketing activities. With online registration, the Buyer consents to the items mentioned above regarding promo materials and their further usage. If they do not agree with the stated items, they undertake to inform HIT Dalmatia in writing via asta@hitdalmatia.com
 
10. From the moment of publication of the profiles and the beginning of setting up meetings, the Buyers assume the obligation for participation in the B2B WORKSHOP and compliance with all meetings agreed via the matchmaking system. Otherwise, HIT Dalmatia will inform ASTA in writing on the non-compliance with the commitments made under these General terms and conditions. 
 
11. HIT Dalmatia reserves the right to cancel any B2B WORKSHOP due to lack of interest, force majeure or any other justifiable reason of which the Buyer will be informed timely.In the event of cancellation of a B2B WORKSHOP due to the above stated reasons, Hit Dalmatia will not be held liable for possible damage or any costs incurred to the registered Buyers. 
 
12. By registering online, the Buyers confirm that they understand the content and that they accept the   provisions of these General Terms and Conditions in full.
 
13. The parties will try to resolve all possible disputes amicably. If they fail to do so, they agree the jurisdiction of the competent court in Split.

OPĆI UVJETI SUDJELOVANJA ZA SELLERE NA ASTA B2B WORKSHOPU
 
 
Ovim Općim uvjetima definiraju se uzajamna prava i obaveze  HIT Dalmatia kao organizatora B2B WORKSHOP-a  i Sellera:
 
1. HIT Dalmatia  se obvezuje da će organizirati B2B WORKSHOP u sklopu događanja ADE dana 5.12.2020. (subota). B2B WORKSHOP će se održati u kongresnoj dvorani hotela Valamar Lacroma  u Dubrovniku.Sudionici B2B WORKSHOP-a su predstavnici ponuđača turističkih usluga iz Hrvatske i inozemstva – Selleri  te predstavnici potražnje iz redova članova ASTA-e koji su se prijavili za sudjelovanje na B2B WORKSHOP-u - Buyeri. Službeni organizator ADE je AmCro Travel (Organizator). 
 
2. Glavni uvjeti sudjelovanja Sellera na B2B WORKSHOP-u su registracija putem linka na web stranici www.hitdalmatia.com u online sustav i uplata kotizacije za sudjelovanje temeljem dobivene ponude od strane HIT Dalmatia, a po obavljenoj registraciji. Po zaprimanju registracije u sustav, HIT Dalmatia dostavit će Selleru ponudu plaćanja kotizacije za sudjelovanje. Po uplati iste, HIT Dalmatia aktivirat će profil u sustavu, o tome obavijestiti Sellera i od tog trenutka Seller može bilo kad pristupiti svom profilu i uređivati ga. Ukoliko Seller ne izvrši uplatu iznosa kotizacije prema ponudi, njegov profil neće biti aktiviran i Seller neće imati mogućnost pristupa profilu kao ni sudjelovanja na B2B WORKSHOP-u.O početku procesa ugovaranja sastanaka između potvrđenih subjekata u sustavu, HIT Dalmatia poslat će informaciju istovremeno svim sudionicima čime je otvorena mogućnost dogovaranja sastanaka. Za plaćenu uslugu prema ponudi poslovnim subjektima će biti ispostavljen račun od strane HIT Dalmatia u roku od 7 dana od dana održavanja B2B WORKSHOP-a.
 
3. Jedna kotizacija po poslovnom subjektu uključuje:
- Stol (130 x 60 cm) i 4 stolice
- Pravo nastupanja u ime poslovnog subjekta na B2B WORKSHOP-u na način:1 poslovni subjekt = 1 profil = 1 prijava (registracija) u on line sustav
 
4. HIT Dalmatia zadržava pravo odrediti datum objave profila prijavljenih sudionika, a time i datum početka ugovaranja sastanaka u online matchmaking sustavu. Do objave profila i početka ugovaranja sastanaka, svim sudionicima kojima su aktivirani profili, biti će vidljiv isključivo vlastiti profil, ne i ostalih sudionika.
 
5. Svaki Seller ponaosob dužan je profesionalno i u skladu s poslovnim uzancama popuniti svoj profil  i odgovarati za istinitost objavljenih podataka na vlastitom profilu. 
 
6.Svaki Seller ponaosob ima mogućnost ugovaranja do maksimalno 18 sastanaka, svaki u trajanju od 10 minuta. HIT Dalmatia zadržava pravo promjene broja mogućih sastanaka tijekom B2B WORKSHOP-a, o čemu će Selleri biti pravovremeno obaviješteni pismenim putem i što neće utjecati na ukupno trajanje B2B WORKSHOP-a. Svaki Seller ponaosob odgovoran je za kvantitetu i kvalitetu ugovorenih sastanaka na B2B WORKSHOP-u.  HIT Dalmatia nije odgovorna za prezentaciju, kvantitetu i kvalitetu ugovorenih sastanaka sudionika.
 
7. HIT Dalmatia očekuje od Sellera  ponašanje u skladu s  dobrom poslovnom praksom. Ukoliko Seller grubo povrijedi pravila dobre poslovne prakse, HIT Dalmatia zadržava pravo otkaza sudjelovanja Sellera na B2B WORKSHOP-u i zatvaranje njegovog profila, o čemu će biti i pismeno obaviješten. U tom slučaju, za povrat plaćenih sredstava primjenjuju se uvjeti storna iz točke 9. ovih Općih uvjeta.
 
8. HIT Dalmatia zadržava pravo promjene satnice sadržaja u prethodno objavljenom programu, a pri čemu Selleri nemaju pravo na povrat ranije uplaćene kotizacije ukoliko svi ranije najavljeni sadržaji budu realizirani.
 
9. Podaci koje Seller upisuje u online  sustavu od strane HIT Dalmatia koristiti će se isključivo za obradu njegovog sudjelovanja na B2B WORKSHOP-u (npr. izrada ponude, računa, obavijesti o događanju, slanje anketnog upitnika i sl.) Svi podaci koje je Seller unio u svoj profil u trenutku objave podataka vidljivi su svim potvrđenim sudionicima B2B WORKSHOP-a. HIT Dalmatia zadržava pravo korištenja promotivnih foto i video materijala u daljnjim marketinškim aktivnostima.  Uplatom kotizacije  Seller daje privolu za gore navedeno, a u slučaju da se s navedenim ne slaže dužan je o tome obavijestiti HIT Dalmatia pismeno putem elektroničke pošte  info@HITdalmatia.com 
 
10. U slučaju odustajanja od sudjelovanja od strane Sellera uvjeti povrata sredstava na ime kotizacije su: 
1) od dana prijave do 61 dan prije početka B2B WORSHOP-a – HIT Dalmatia vraća  Selleru 100% uplaćenih sredstava
2) od 60 dana do dana održavanja B2B WORKSHOP-a, uključujući NO SHOW – HIT Dalmatia zadržava 100% uplaćenih sredstava
 
 
10. HIT Dalmatia zadržava pravo otkaza B2B WORKSHOP-a u slučaju nedostatnog interesa sudionika, više sile ili drugog opravdanog razloga o čemu će pravovremeno obavijestiti Sellera. U slučaju otkaza B2B WORKSHOP-a iz gore navedenih razloga HIT Dalmatia neće biti odgovoran za eventualno nastalu štetu ili za refundaciju bilo kakvih troškova prijavljenih Sellera, osim povrata ranije uplaćene kotizacije.
 
11. Registracijom u online sustav Selleri potvrđuju da razumiju sadržaj te da u cijelosti prihvaćaju  odredbe ovih Općih uvjeta.
 
12. Svaki eventualni spor stranke će pokušati riješiti sporazumno. U slučaju da stranke ne uspiju riješiti spor suglasne su da je za njegovo rješenje  nadležan sud u Splitu.
